The EULA can't be agreed to until the account is activated. Even if the box is opened, as long as the account key hasn't been opened you can still sell it. Anet as already gotten there money for it so why should they care? I am sure people buy the game, read the book, decide that they don't want the game, and then sell it to a friend (probably cheaper then what they paid for it). There is nothing illegal about that. The account key is still unmolested so the EULA hasn't been agreed to yet. As long as the friend you sell it to doesn't make a PA about it, who will ever find out?

Uhm, you missed the part about deleting your characters (all of them) and selling/giving away your entire inventory. Is it foolproof? Nope, not at all. ANet doesn't just randomly lock accounts, they have an employee(s) that look at the available evidence and make a decision. Occasionally they screw up, no system is perfect. In which case, the person sends a note to support, someone else (most likely) rechecks the evidence, and makes a decision, usually in favor of the person who got locked out.

u can sell the cd-key as long as u don't email anet and tell them about it. no harm done.
