To be consistent, if YOU die while the shout is active, the nearest enemy to you gets the health and energy bonus.

This skill is heavily flawed... ok...
The only time a shout is active, is when it is being used, and ends as soon as everyone heard the shout. From then on, the shout becomes passive - you can't change it, it can't be removed. I mean you have to think logically. Just think of a person yelling out something. Now for a skill such as "Shields Up!" it's not like the shouter is going to be shouting "Shields Up" for the entire duration the shout is in effect, no. The shout is given, and then people listen and remember for that duration.
Now the reason why "Let the best man win!" cannot work is because it's been made into an active skill, so whenever something dies, your shout comes into effect. Another problem with this is that whenever you make any other shout, it will only affect those people within earshot at the time that the shout was used, and noone else. This skill gives the implication that for those who were too far away to hear "Let the best man win!" they will still be affected, if they die within earshot.
I think that as for the balance issues, I disagree with kvndoom, I think the numbers are fine the way they are, especially seeing as you don't even have to kill the targets yourself, and especially in PvE where monsters can be killed within that timeframe. I'm just worried that the power of the skill is a little too much, and the downsides don't really make a dent into balancing this skill out. 35 hp when one of your allies die is insignificant compared to the amount you gain when an enemy dies, and I think that needs to be considered.
It has really nice potential for tankers and casters as well. Mostly casters, because they would benefit from health and energy moreso than the warrior.

Ill think about how I can fix most of that. But my general idea would be to have it sort of like charge, where the icon remains on your effects bar, then every time the specified circumstances happen, it comes into effect.

For it to be a universal effect which works on enemeis and allies it should instead be some sort of Ranger Spirit, which will grant some sort of boost to either side if they slay an enemy.

Your original doesnt really work as people above already explained why. Also I dont think theres a single skill in the game that directly gives an opponent health or energy so this skill would be kinda weird.
Your second seems slightly underpowered +5..12 isnt much and negates any further bonus. Its not gonna be in its full effect because warriors never put 16 or anything close to that in tactics unless theyre retarded (well maybe those stupid PvE stance tanks but they wouldnt use this)
This would make a warrior put more in tactics and not be able to use an elite attack.
